Types of Business Activity in Poland — Which Form to Choose?

Before you register your business, you must decide in what form you will conduct your activity. Each form has different requirements, costs, and tax obligations. Here are the main options:

Sole Proprietorship

A sole proprietorship is the simplest and most popular form for people starting out. You are the entrepreneur yourself — there is no separate legal entity, meaning your business and personal assets could be at risk if you face financial problems.

  • Registration: CEIDG (online or at municipal office)
  • Registration time: 1-3 days (online), up to a week (by mail)
  • Cost: approximately 300-500 PLN
  • Initial capital: not required
  • Liability: You are personally liable for all business obligations
  • Records: Simplified records (KPiR) or flat rate

Limited Liability Company

A limited company is a separate legal entity. Your personal assets are separated from company assets. If the company faces financial problems, your liability is limited to your capital contribution.

  • Registration: Notary + National Court Register (KRS)
  • Registration time: 2-4 weeks
  • Cost: 2000-4000 PLN
  • Initial capital: minimum 5000 PLN
  • Liability: Limited to initial capital
  • Records: Full accounting

Other Business Forms

Joint stock companies, general partnerships, and limited partnerships exist but are less common for startups. Consult with a tax advisor if considering these options.

Unregistered Business Activity — Can I Start Without Formalities?

Before you pay the CEIDG fee, it's worth knowing that if your revenue is very low, you can conduct unregistered business activity — without CEIDG registration.

When is activity unregistered?

  • Revenue does not exceed 50% of average salary (approximately 7200 PLN annually in 2026)
  • You don't have more than one employee
  • The activity is occasional

Obligations for unregistered activity

Even without CEIDG registration you must:

  • Obtain a tax ID number (NIP)
  • Pay income tax
  • Keep records
  • Register with social security if self-employed

Sole Proprietorship Registration Step by Step

If you chose sole proprietorship, here's how to register through CEIDG.

Step 1: Prepare Your Documents

  • ID card or passport
  • Tax ID number or PESEL
  • Mailing address
  • Business description (PKD code)

Step 2: Enter CEIDG Online

Visit ceidg.gov.pl and log in using Trusted Profile or e-PUAP.

Step 3: Complete the ZUS ZZU-A Form

Fill in your personal data, business description (PKD codes), business location, number of employees, and tax form.

Step 4: Submit

The system sends your application to CEIDG, social security, and tax office. You'll receive confirmation within 1-3 days.

Registration Costs for Sole Proprietorship

  • CEIDG: free
  • Tax ID (if needed): ~100 PLN
  • Bank account: 0-300 PLN
  • Stamp: 50-150 PLN
  • First social security: ~380-450 PLN

Total: approximately 500-1000 PLN

Limited Company Registration

Setting up a limited company involves more steps and costs.

Step 1: Prepare Articles of Association

The articles must be approved by a notary and include company name, registered office, business purpose, initial capital (minimum 5000 PLN), and manager details.

Step 2: Deposit Capital

Before visiting the notary, deposit the initial capital into a dedicated bank account.

Step 3: Notary Visit

The notary will prepare, authenticate, and issue a notarial certificate proving the company is established.

Step 4: Register with National Court Register (KRS)

File an application (electronically through S24.pl or in person at the court). Registration usually takes 2-4 weeks.

Step 5: Register with Social Security and Tax Office

After KRS registration, register with social security and tax office.

Registration Costs for Limited Company

  • Notary: 700-1500 PLN
  • KRS registration: ~300-400 PLN
  • Bank account: 0-300 PLN
  • Stamp: 50-150 PLN
  • First social security: ~500-600 PLN
  • Initial capital: 5000 PLN

Total: approximately 2500-3500 PLN (excluding initial capital)

Tax ID Number, Statistical Number, VAT Registration

Tax ID Number (NIP)

Your unique tax identifier needed for invoicing, tax settlements, and bank accounts. Assigned automatically during registration.

Statistical Number (REGON)

A statistical identifier assigned automatically to all registered businesses. Used for government surveys and administrative procedures.

VAT Registration

Optional until your revenue reaches 200,000 PLN annually. You can register voluntarily if your customers are businesses.

Choosing a Tax Form — Simplified Records, Flat Rate?

Simplified Records (KPiR)

  • Revenue limit: up to 2 million PLN annually
  • Tax rate: 19% on net income (revenue minus costs)
  • Best if: you have documented costs

Flat Rate Taxation

  • Rates: 3%-20% depending on industry
  • Revenue limit: up to 2 million PLN annually
  • Best if: you have low or undocumented costs

Limited Company

  • Tax rate: 9% or 19% on profit
  • Best if: high revenue and asset protection desired

Business Bank Account and Stamp

Open a Business Bank Account

Almost all banks offer business accounts. You need registration documents, ID, tax ID, and statistical number. Cost: 0-300 PLN annually.

Order a Business Stamp

Optional but practical for document authentication. Cost: 50-150 PLN.

Social Security for New Businesses

Must I Register With Social Security?

If you're a sole proprietor, yes — within 7 days of starting. Late registration incurs penalties.

Social Security Contributions in 2026

The basic monthly contribution is approximately 1,320 PLN for sole proprietors. However, new businesses can qualify for 50% reduction (approximately 660 PLN) for the first 24 months.

Voluntary Insurance

If your revenue is very low, you can register for voluntary insurance — approximately 280 PLN monthly with health coverage.

Tax and Bookkeeping Obligations

Monthly VAT Report (JPK_V7M)

  • When: By the 25th of the following month
  • Content: All invoices and VAT calculations

Annual Income Tax Settlement

  • Simplified Records: PIT-36 form
  • Flat Rate: PIT-28 form
  • Limited Company: CIT-8 form
  • Deadline: April 30

Employee Obligations

If you hire an employee, you must keep employee records, issue earnings statements, maintain work time records, and send monthly employee data file (JPK_P).
